1. Acceptance of Terms

By accessing or using the Spherica platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Spherica.

2. Description of Service

Spherica is an organizational survey platform that enables companies to conduct culture surveys, 360-degree feedback, and pulse checks. The Service provides tools for creating, distributing, and analyzing employee surveys, as well as managing organizational data and generating actionable insights.

3. Account Registration & Responsibilities

To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Organization administrators are responsible for managing user access within their organization, including adding and removing team members and assigning appropriate roles and permissions.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Upload, transmit, or distribute any content that is unlawful, defamatory, harassing, or otherwise objectionable.
  • Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to send unsolicited communications or spam.
  • Reverse engineer, decompile, or disassemble any aspect of the Service.

5. Intellectual Property

The Service, including all software, designs, text, graphics, and other content provided by Spherica, is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the term of your subscription. Nothing in these Terms transfers ownership of any intellectual property rights to you.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. For organizations that require a data processing agreement, please refer to our Data Processing Agreement (DPA).

We process personal data in accordance with the General Data Protection Regulation (GDPR) and applicable data protection laws. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

7. Survey Data Ownership

All survey data — including questions, responses, and any derived analytics — remains the property of the organization that created or collected it. Spherica does not claim ownership of your survey data. We act solely as a data processor on behalf of your organization.

Upon termination of your account or subscription, you may request an export of your survey data. We will provide the data in a structured, machine-readable format within a reasonable timeframe.

8. Service Availability & Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to notify you of significant changes in advance.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Spherica shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Spherica in the twelve (12) months preceding the event giving rise to the claim.

10. Termination

Either party may terminate these Terms at any time by providing written notice. We may suspend or terminate your access to the Service immediately if you breach these Terms or engage in conduct that we reasonably believe may harm Spherica or other users.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination — including intellectual property, limitation of liability, and governing law — shall remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Berlin (Amtsgericht Berlin).

12. Changes to Terms

We may update these Terms from time to time. The updated version will be indicated by the “Last updated” date at the top of this page. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Service.
